Version 1 · Effective date: 1 November 2026
These Terms of Use (the Terms) govern your access to and use of the Rokk website at www.rokk.com, the Rokk mobile application, the Rokk A1 product, and related digital content, software, support, and services (collectively, the Services). For purposes of these Terms, Software means software embedded in or provided for use with the Rokk product, the Rokk mobile application, updates, and related documentation. The software-license provisions below apply to the Software as part of these Terms. The Services are provided in the United States by Rokk Inc., 2450 Colorado Avenue, Suite 100E, Santa Monica, California 90404, USA (Rokk, we, us, or our).
By creating an account, activating, installing, accessing, or using the Services, you agree to these Terms and the Rokk Privacy Policy. If you do not agree, do not create an account or use the Services.
Eligibility and Accounts
- You must be at least 13 years old, or the minimum age required to provide digital consent in your jurisdiction, to create a Rokk account. If you are under the age of majority where you live, you may use the Services only with the involvement of a parent or legal guardian.
- You must provide accurate and current account information and keep your login credentials confidential. You are responsible for activity occurring through your account. Notify us promptly at help@rokk.com if you believe that your account has been accessed without authorization.
- We may suspend or terminate an account where we reasonably believe that use of the account violates these Terms, risks harm to a person or the Services, or is unlawful. Your Software license begins when you first install, activate, access, or use the Software and continues until terminated. We may terminate that license if you materially breach these Terms. Upon termination of the license, you must stop using the Software and delete the app from your devices; provisions that by their nature should survive termination remain in effect.
The Rokk Product and App
- Rokk is a connected audio product that is set up and managed through the Rokk app. Certain functions require the app and an active internet connection. Stored audio playback and physical controls may remain available offline.
- The product uses a proprietary wireless charging system. Use only the supplied Rokk charging base, adapter, and cable. The charging base is not designed to charge other products, and the Rokk product is not compatible with Qi chargers.
- We may provide firmware, security, feature, or other software updates, upgrades, patches, bug fixes, or new versions. Unless accompanied by separate terms, updates to the Software are part of the Software and governed by these Terms. Updates may be installed automatically over Wi-Fi or offered through the app. You agree that updates may modify, add, or remove features where reasonably necessary to maintain, secure, or improve the Services.
Subscription Services and Purchases
- For California consumers purchasing directly through www.rokk.com or another Rokk-authorized online storefront, your order is an offer that Rokk accepts by sending an order-confirmation email or otherwise expressly confirming acceptance. Rokk may reject an order or cancel an accepted order where reasonably necessary for a pricing or description error, suspected fraud, unavailability, legal compliance, or another legitimate operational reason; if payment was collected for canceled items, Rokk will refund those items. The prices, taxes, shipping charges, promotions, and payment methods displayed at checkout apply. You must provide accurate billing, payment, and delivery information and be authorized to use your payment method. Delivery dates are estimates unless expressly stated otherwise; risk of loss passes upon delivery to the carrier except where applicable law requires a different result. Product images may differ in color or appearance; availability is not guaranteed, and Rokk may correct errors, limit quantities, decline orders, or discontinue products subject to applicable law. Products are for personal or household use only, not resale, export, or unlawful purposes, and you must comply with applicable export controls.
- Eligible direct hardware purchases have a 30-day money-back return window beginning on the date of purchase under the Rokk Returns Policy. Request a return at help@rokk.com with your name, order number, contact information, and reason. The eligibility and condition requirements, refund method, shipping allocation, and exclusions must be disclosed at checkout and in the order confirmation. Rokk may require proof of purchase and return of the product and included accessories, materials, and packaging, subject to applicable law. For voluntary returns other than damaged, defective, or nonconforming goods, you bear return-shipping method and risk of loss until Rokk receives the product, subject to law. After inspection, approved refunds are made to the original payment method unless law requires otherwise. Retailer purchases follow the retailer’s return policy, without limiting non-waivable rights. New Rokk-branded hardware and included accessories purchased in California from Rokk or an authorized retailer are covered by the Rokk Limited Warranty for the original purchaser against defects in materials and workmanship under normal use for one year from original retail purchase, not subscription activation. The warranty is nontransferable. If Rokk determines a claim is covered, it may, subject to law, replace the product with a new or refurbished product of the same or substantially similar model or refund the price; Rokk does not currently repair units. Replacement coverage lasts for the remainder of the original period or 90 days, whichever is longer, subject to law. Warranty exclusions and the claim procedure in the Limited Warranty apply.
- Request service at help@rokk.com with your name and contact information, proof of purchase, product serial number, a description of the issue, and photographs if requested. Rokk may first provide reasonable troubleshooting steps. If inspection is necessary, Rokk will provide instructions for collection or return of the product, including packaging and shipping instructions and, for a covered claim, reasonable shipping costs where required by law. After any required inspection or collection, Rokk will notify you whether the claim is covered and, if covered, arrange a replacement or refund as described above. Rokk does not repair units. Rokk will complete service within the time required by applicable law. Non-waivable rights and remedies are unaffected.
- The Rokk Membership is a paid, automatically renewing subscription (called a “subscription” in the Terms of Use). It is separate from the hardware purchase. Depending on the option chosen at online checkout, it may begin with a complimentary period or a paid initial term. Your terms depend on the option you chose; the length of any complimentary period, the initial term, and the price are shown at checkout and in your order confirmation. A Rokk Membership gives you access to the content and features included in your plan. To use them, you need the device, the App, a Rokk account, and an internet connection. Without an active Rokk Membership, some features, content, and services will be limited or unavailable.
- At the end of each term, your paid plan automatically renews for the renewal period shown at checkout, unless canceled before the next renewal charge. If your option includes a complimentary period, the membership moves to the paid plan shown at checkout when that period ends, unless you cancel before then. The price for the initial period and the renewal price, including any applicable taxes, will be shown before enrollment and in the acknowledgment. You may cancel at any time before the next renewal charge; the cancellation takes effect at the end of the current paid period. Membership charges are refundable within the 30-day money-back return window. After that, charges for the current term are nonrefundable, except as required by law. You can cancel online through the Rokk account portal, which you can open from the App, or contact help@rokk.com for help. If the laws where you live give you additional rights, such as renewal reminders, other ways to cancel, or refunds, those rights apply.
- Rokk will obtain required consent and give required acknowledgment and renewal, price-change, or material-change notices. Subscription-only access may end when a subscription ends; functions offered without a subscription are unaffected.
- For subscriptions billed and controlled solely by a third-party app store, cancel through that store’s cancellation mechanism. Rokk may suspend or terminate a subscription for a material violation of these Terms or the Subscription Terms, without affecting accrued rights or amounts due.
Voice Notes
- The Voice Notes feature records only when you choose to create a Voice Note. It does not continuously record or record in the background.
- Voice Notes are a channel to Rokk, not a private journal. At launch, all Rokk employees have permission to access audio and transcripts; the content team uses transcripts to improve content, and engineers use audio and transcripts to troubleshoot production and transcription issues and improve transcription accuracy. AWS services transcribe and post-process the recordings, as described in the Privacy Policy.
- Recording begins and ends with a chime, and the LED ring remains lit while recording. Do not record another person without any consent required by applicable law. Do not record sensitive, confidential, or other information that you do not want Rokk to access. You represent that you have all rights and permissions necessary for the Voice Notes and other content you submit.
- You may view and delete individual Voice Notes through the app. Account closure has a seven-day cancellable grace period. Our handling of deletion requests, backups and retention is described in the Privacy Policy.
- You retain any rights you have in your Voice Notes. You grant Rokk a non-exclusive, worldwide, royalty-free license to host, reproduce, process, transmit, display to you, and otherwise use Voice Notes and transcripts solely to provide, maintain, secure, support, and improve the Services and as otherwise described in the Privacy Policy.
Acceptable Use
- You may use the Services only for lawful, personal, non-commercial purposes and in accordance with these Terms.
- You will not, and will not help another person to: (a) misuse, interfere with, disrupt, or gain unauthorized access to the Services or another user’s account; (b) copy, modify, distribute, sell, lease, or sublicense the Software, or reverse engineer, decompile, disassemble, or attempt to discover its source code, except to the limited extent that applicable law prohibits these restrictions; (c) bypass, disable, or interfere with security, digital-rights-management, access-control, or update mechanisms; (d) use the Services to infringe another person’s rights or violate applicable law; (e) submit malware, harmful code, or unlawful content; or (f) use automated means to access the Services except through an authorized interface.
Intellectual Property and Limited License
- The Services, including their software, audio content, text, graphics, trademarks, designs, and other materials, are owned by Rokk or its licensors and are protected by applicable intellectual-property laws.
- Subject to your compliance with these Terms, Rokk grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for their intended purpose and to install and use the Software solely with a Rokk product you own or are authorized to use, for its intended personal, non-commercial purposes. The Software is licensed, not sold. Rokk and its licensors retain all right, title, and interest in the Software and related intellectual property. No other rights are granted.
- Rokk and the Rokk logo are trademarks of Rokk Inc. Other names and marks belong to their respective owners.
Third-Party Services
- The Services may interoperate with third-party platforms, including app stores, identity providers, payment providers, and mobile-device operating systems. Your use of a third-party service, including an Apple or Google app store through which you obtain the Rokk app, is governed by that third party’s terms and privacy practices. An app store is not responsible for maintenance or support of the app except as required by its own terms or applicable law. Rokk is not responsible for third-party services that it does not control.
Feedback
- If you send suggestions, ideas, comments, or feedback to Rokk, you grant Rokk a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation, except that this section does not change Rokk’s obligations for personal information under the Privacy Policy or applicable law.
Health and Safety Information
- Rokk is not a medical device and is not intended to diagnose, treat, cure, mitigate, or prevent any disease, disorder, or health condition. The Services are not a substitute for professional medical, mental-health, or emergency assistance. In an emergency, contact local emergency services.
- Follow the safety, charging, battery, RF-exposure, and other instructions provided with the product. Stop using the product and contact support if it is damaged, overheats, emits smoke or an unusual odor, or otherwise appears unsafe.
Changes to the Services and Terms
- We may modify, suspend, or discontinue all or part of the Services where reasonably necessary for security, legal compliance, maintenance, product development, or business operations. If we discontinue the cloud service, we will provide at least three months’ advance notice when practicable and subject to applicable law.
- We may update these Terms from time to time. If an update materially changes your rights or obligations, we will provide notice as required by law. The updated Terms take effect on the stated effective date. Your continued use after that date constitutes acceptance, except where applicable law requires a different form of consent.
Disclaimers
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ROKK DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WARRANTIES OF ACCURACY OR UNINTERRUPTED OR ERROR-FREE OPERATION OF THE SOFTWARE.
- Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded or limited. The separate limited warranty applies to covered Rokk hardware according to its terms.
Limitation of Liability
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROKK AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES.
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROKK’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES, INCLUDING THE SOFTWARE, UNDER ANY LEGAL THEORY AND FOR ALL CLAIMS COMBINED, WILL NOT EXCEED $100.
- The limitations in this section do not limit liability that cannot be excluded or limited under applicable law, including non-waivable consumer warranty remedies. Nothing in this section reduces the express remedies stated in the Rokk Limited Warranty or refunds expressly due under the applicable Returns Policy, Online Sales Terms, or Subscription Terms.
Indemnification
- To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Rokk and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses arising from your violation of these Terms, unlawful use of the Services, or Voice Notes or other content you submit in violation of another person’s rights.
Governing Law and Disputes
- These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles, except where the law of your place of residence requires otherwise.
- Nothing in these Terms limits a non-waivable statutory right. These Terms do not impose arbitration or a class-action waiver.
General Terms
- You may not assign or transfer these Terms without Rokk’s prior written consent. Rokk may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.
- If any provision of these Terms is unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.
- A failure to enforce a provision is not a waiver of that provision.
- These Terms, the Privacy Policy, and, as applicable, the Rokk Online Sales Terms, Returns Policy, Limited Warranty, Subscription Terms constitute the agreement between you and Rokk concerning the relevant Services, purchase, product, or subscription. The more specific applicable terms and offer-specific disclosures control if they conflict with these general Terms. For a purchase, the version of the Returns Policy presented at checkout governs that purchase unless law requires otherwise. Nothing in these Terms reduces rights or remedies that cannot lawfully be waived.
